The exemption is scheduled to expire five years after publication. It does not represent unrestricted approval for all tokenized equities or blockchain trading platforms. Instead, participating venues must meet several investor-protection and market-structure conditions.

Tokenized shares must provide holders with the same rights and privileges as the equivalent traditional stock. Venues are also subject to limits on the number of securities and trading volume, while smart contracts must be publicly auditable and deployed on a public, permissionless distributed ledger.

If an unaffiliated third party tokenizes a company’s shares, the venue must give the underlying issuer written notice and an opportunity to object. Trading in the tokenized security must also stop whenever the underlying stock is halted on its primary exchange.

The framework therefore creates a controlled path for on-chain securities trading rather than a broad deregulation of the market. However, it is still significant because it gives qualified operators a clearer way to test blockchain-based market infrastructure under federal oversight.

Why the SEC Decision Matters for Bitcoin

The exemption does not directly change Bitcoin’s legal status or its underlying network. Its influence on BTC is mainly through market sentiment and expectations for wider institutional adoption of blockchain technology.

Spot Bitcoin ETFs Reverse Midweek Outflows

Improving ETF flows added a more direct source of demand. U.S. spot Bitcoin ETFs attracted $159.5 million in net inflows on Thursday, followed by $433.0 million on Friday. The two sessions produced combined net inflows of $592.5 million, reversing most of the $746.3 million withdrawn on Tuesday and Wednesday.

Friday’s inflows were led by Fidelity’s Wise Origin Bitcoin Fund, which received $310.7 million. BlackRock’s iShares Bitcoin Trust added $108.4 million, while several smaller funds also recorded positive flows.

Despite the strong two-day rebound, the five-session total was only $6.1 million in net inflows. That near-flat weekly result shows that institutional demand remained uneven rather than consistently bullish. Even so, the shift from heavy withdrawals to broad-based inflows helped improve short-term sentiment and provided support for Bitcoin’s price recovery.

ETF flows remain an important indicator because they reflect demand through regulated investment products. Sustained inflows can absorb available supply and support prices, while renewed withdrawals may quickly weaken momentum.
