Dubai Investments is preparing to sell a 20% stake in DIP Holding through the UAE’s first initial public offering of 2026, reopening the country’s primary equity market after an unusually quiet year for new listings.
The DIP Holding IPO will comprise 1,735,243,300 existing ordinary shares and is expected to list on the Dubai Financial Market. The company owns the operator of Dubai Investments Park, one of Dubai’s largest integrated industrial, logistics, commercial and residential districts.
Subscriptions are expected to run from October 27 through November 3, with the DFM listing scheduled for approximately November 11, subject to regulatory approvals and market conditions.
The offering is entirely a sale of existing shares by Dubai Investments rather than a new issuance by DIP Holding. This means the proceeds will be received by Dubai Investments, which intends to use most of the funds to expand its other businesses and for general corporate purposes.
Dubai Investments will continue to own 80% of DIP Holding after the IPO, retaining control of the business. DIP Holding’s results will also continue to be consolidated into the listed parent company’s financial statements.

DIP Holding owns 100% of Dubai Investments Park Development Company, the business responsible for operating Dubai Investments Park.
The development covers approximately 23 million square metres in southern Dubai, including 17.1 million square metres of gross leasable area. It is positioned between Jebel Ali Port and Al Maktoum International Airport, providing access to two of Dubai’s most important logistics gateways.
Dubai Investments Park accommodates:
Average occupancy was approximately 98% between 2020 and 2025, indicating relatively stable demand across different economic conditions.
DIP operates the site under a 99-year government headlease. Tenants typically sign ground leases lasting 30 years or longer and fund the construction of their own buildings and facilities.
This structure allows DIP Holding to generate recurring income from ground rent, subleasing fees and estate services without carrying the full development costs associated with constructing and maintaining tenant properties.
DIP Holding generated AED 960 million in revenue during 2025, representing growth of 7.6%. Adjusted EBITDA increased 7.4% to AED 678 million, producing a margin of approximately 71%.
Net profit reached AED 1.093 billion, up 14.2%, while cash conversion stood at 97.8%. Net profit exceeded revenue partly because the earnings calculation can include non-operating items such as changes in property valuations and gains from asset disposals.
Financial momentum continued during the first half of 2026.
Financial Metric | FY 2025 | H1 2026 |
|---|---|---|
Revenue | AED 960 million | AED 492 million |
Adjusted EBITDA | AED 678 million | AED 355 million |
Adjusted EBITDA margin | 71% | 72% |
Net profit | AED 1.093 billion | AED 444 million |
Cash conversion | 97.8% | 98% |
First-half revenue increased 6.9% on a like-for-like basis, while adjusted EBITDA rose 8.9%. The combination of long leases, limited ongoing capital expenditure and recurring ground-rent income supports the company’s high margins and cash generation.
DIP Holding is positioning its dividend policy as a major part of the IPO investment case.
The company expects to pay annualised dividends of AED 700 million for 2026, AED 725 million for 2027 and AED 750 million for 2028. From 2029 onward, it expects distributions to remain in line with or above the 2028 level, subject to financial performance, board recommendations and shareholder approval.
Financial Year | Target Annualised Dividend |
|---|---|
2026 | AED 700 million |
2027 | AED 725 million |
2028 | AED 750 million |
2029 onward | In line with or above AED 750 million |
The 2026 target excludes an exceptional AED 100 million dividend distributed before the IPO in September.
DIP Holding expects its first post-listing distribution to be AED 350 million, payable in April 2027 for the second half of 2026. IPO participants are expected to qualify for the entire six-month distribution rather than receiving a prorated amount covering only the period after the November listing.
The implied dividend yield cannot be calculated accurately until the offer price is released. Market estimates suggesting a yield of approximately 7%–8% remain provisional and depend on the final IPO valuation.
DIP Holding has identified rent repricing, higher subleasing income and plot repositioning as its principal growth drivers.
Approximately 10.7 million square metres of the operating ground-lease portfolio is scheduled for rent reviews between the second half of 2026 and 2030. This could allow the company to move older contracts closer to current market rates.
DIP Holding may also benefit when tenants sublet their properties. The company receives fees linked to subleasing income, creating another revenue stream without needing to construct new buildings.
Management is additionally converting selected plots from lower-value uses to higher-rent categories. Repositioning industrial land for logistics operations, for example, could generate higher ground rent and increase future subleasing opportunities.
The location of Dubai Investments Park could become more valuable as development accelerates around Al Maktoum International Airport, Jebel Ali and Dubai’s southern economic corridor.
Despite its high occupancy and recurring revenue, the IPO still carries risks that investors will need to evaluate when the price range is announced.
The most important issue is valuation. A strong operating business can still deliver weak investment returns if its shares are priced too aggressively. Investors should compare the final valuation and dividend yield with listed UAE property companies, infrastructure businesses and fixed-income alternatives.
The offering is also entirely secondary. DIP Holding will not receive new capital from the IPO, meaning the transaction is designed primarily to monetise part of Dubai Investments’ existing ownership and establish a public market for the shares.
Other risks include:
Investors will need the final prospectus and offer price before determining whether the projected dividends adequately compensate for these risks.
DIP Holding’s offering is significant because it is the first UAE IPO announced for 2026 after geopolitical uncertainty and volatile financial markets delayed several potential listings.
The transaction will test investor appetite for a cash-generative, dividend-focused business rather than the high-growth technology and consumer companies that have dominated many recent IPO markets.
Demand will likely depend on the offer price, implied dividend yield and institutional bookbuilding results. DIP Holding’s near-full occupancy, long-term leases and high cash conversion provide a defensive investment narrative, while exposure to Dubai’s expanding logistics and industrial districts offers potential growth.
Subscriptions will begin on October 27, when investors will receive the price range needed to assess the company’s valuation. The final offer price is expected on November 4, followed by the planned DFM listing on November 11.
